The present general  terms and conditions are entered into exclusively between the Company EV4 France,  owner and operator of the AEMOTION brand, a Simplified Joint Stock Company  (SAS) with a share capital of €28,492, registered with the Bourg-en-Bresse  Trade and Companies Register under number 84 069 55 55 00028, with its  registered office at 87 rue de la Picardière 01300 VIRIGNIN, France,  hereinafter referred to as « AEMOTION » or « the Company », and any individual  or legal entities making a purchase with the Company, either directly through  one of its representatives, or via the website www.ae-motion.com, hereinafter  referred to as « the Client » and collectively referred to as "the  Parties".

 

The Client declares  that they are of legal age and have the legal capacity to contract, enabling  them to place an order or pre-order with the Company. The Parties agree that  their relationship shall be governed exclusively by these General Terms and  Conditions of Sale (“Terms”). These Terms may be updated from time to  time. Consequently, the applicable Terms are those in force on the Company’s  website at the time the Client places an online order or pre-order on www.ae-motion.com.

 

Any reproduction, in  whole or in part, of the website www.ae-motion.com is subject to prior  written authorization from the Company’s legal representative.

 

The website is hosted  by OVH SAS, 2 rue Kellermann, 59100 Roubaix, France.
 The Site Publication Director is Mr. Alexandre LAGRANGE.

 

AEMOTION’s activity  consists of the design, manufacture, and sale of all types of land vehicles,  whether motorized or not. The Company has developed a vehicle bearing the  same name, with electric propulsion, which is the main product presented on www.ae-motion.com.

In addition to  vehicles, AEMOTION may also market various accessories, services, and related  products. All such vehicles, accessories, services, and related products  marketed by AEMOTION are hereinafter collectively referred to as the  “Products.”

 

Section 1 – Scope of  Application

The Client acknowledges  having read and expressly accepted these Terms in full and without  reservation. For online purchases or pre-orders, acceptance of these Terms  does not require a handwritten signature. The Client may download and save a  copy of these Terms. For greater security, Clients are advised to retain the  version of the Terms applicable on the date of their order.

 

Orders placed on the  website are binding and irrevocable upon confirmation, provided the Client  has supplied a valid email address. An order confirmation email will be sent  as soon as possible. The confirmation constitutes acceptance of these Terms,  acknowledgment of having read them in full, and waiver of the Client’s own  purchase terms or other conditions.

 

Clients are advised to  retain or print a copy of their purchase order until receipt of the  confirmation email. As an online offer subject to the uncertainties of  Internet transmission, it is only valid once accepted by AEMOTION and, where  applicable, its financial partner, responsible for online payment processing.

 

Section 2 – Products

2.1 Identification and  Conformity of Products

 

AEMOTION displays  Products on its website with the information necessary to comply with Article  L.111-1 of the French Consumer Code, which provides that the Client must be  able to know, before definitively placing an order, the essential  characteristics of the Products they wish to purchase. Photographs, videos,  texts, graphics and technical datasheets are, in most cases, derived from  documentation prepared by AEMOTION. Descriptive texts are contractually  binding. If you make a purchase intending to ensure compatibility with a  Product already in your possession, you are responsible for verifying  compatibility by consulting the Product’s descriptive sheet. AEMOTION cannot  be held liable for compatibility issues unless a compatibility commitment is  expressly stated in the Product’s descriptive sheet.

 

2.2 Availability and  Delivery Times

The majority of the  vehicles and other Products offered for sale on the AEMOTION website are  manufactured to order. This means they are not in stock at AEMOTION at the  time the Client places their order. An estimated delivery time expressed in  weeks is provided to the Client before order validation on www.ae-motion.com, or is stipulated on  the quotation in the case of an in-person order. The Client is informed and  accepts that, due to the made-to-order production of the majority of Products  sold by AEMOTION, the announced delivery times may vary by several weeks  without this affecting the contractual commitments made between the Client  and the Company at the time of order acceptance.

 

Section 3 – Prices

Prices displayed on the  website ae-motion.com are inclusive of all taxes (TTC) in euros and reflect  the VAT rate applicable on the day of the order. Any change in the VAT rate  may be passed on to the price of Products or services. The Company reserves  the right to modify its prices at any time; it being understood that the sale  price applicable to the purchase of a Product is the price shown online at  the time the order is recorded. Delivery charges are payable by the Client  and invoiced in addition to the selling price of the Products, except in the  case of specific offers.

 

To pay for an online  pre-order, the Client shall use the payment methods offered at the final  validation of the order (depending on the region): bank card, PayPal or Apple  Pay via our partner STRIPE. A pre-order paid by bank card (Visa, Carte Bleue,  MasterCard) will be debited immediately following the validation of the  pre-order.

 

In the case of an  in-person order, the sale price applicable is that indicated on the quotation  signed by the Client. To pay for an in-person order, the Client shall use the  following payment method: bank transfer. Where payment is made by bank  transfer, the order will be processed upon receipt of funds in the Company’s  bank account. Availability and dispatch times begin from the date on which  the payment method is recorded.

 

Section 4 – Pre-Orders

Prior to placing an  order, the Client may place a pre-order, which may be made and paid for  online only via the website www.ae-motion.com, in order to reserve a vehicle  or other Products.

 

The pre-order binds the  Client in that the Product will be reserved for them upon availability.  Payment of a pre-order shall be regarded as a deposit signifying the Client’s  intention to purchase; such deposit is fully refundable if the Product cannot be delivered  to them. An estimated range for the delivery date will be specified at the  time of pre-order; the Product being still in development, regular  communications will be provided to the Client regarding the progress of  production.

The Client declares  that they have full legal capacity to enter into these Terms and Conditions.

Any Client wishing to  purchase Products online on the Site must:

- create a Client  account, hereinafter referred to as a “Member Space”, on www.ae-motion.com;

- log in to their  Client account on www.ae-motion.com;

- indicate whether they  are a private (individual) Client or a professional Client;

- complete the required  fields necessary to generate the Pre-order, including personal data required  for identification for individual Clients and legal information for  professional Clients;

- confirm acceptance of  the General Terms and Conditions of Sale;

- confirm acceptance of  the pre-order for the Products;

- make payment for the  Products via our banking partner STRIPE.

The Client may modify  or cancel their pre-order without condition after validation. Information on  how to proceed is available in the Client’s Member Space on www.ae-motion.com.

After receipt of  payment for the Products included in the pre-order, AEMOTION will send the  Client an email confirming the pre-order to the e-mail address provided by  the Client.

The pre-order  confirmation email does not provide the essential characteristics of the  Product(s) ordered, the total price, delivery charges, or other relevant  elements. These elements will be defined later during an exchange between the  Client and an AEMOTION representative. At the conclusion of this exchange, a  final quotation will be provided to the Client, listing all essential  characteristics of the Product(s), the total price, delivery charges and any  other relevant information.

By placing a pre-order  on the Site, the Client expressly agrees that AEMOTION may send them a proforma  invoice electronically. They may nevertheless request a paper invoice by  contacting AEMOTION at facturation@ae-motion.com.

The Seller endeavors to  ensure optimal availability of its Products. Product offers are valid while  stocks last.

For the purposes of  fraud prevention, the Seller or its payment or delivery service providers may  request additional supporting documents from the Client or may contact the  Client at the time of acceptance of the pre-order. If the Client  unjustifiably refuses to provide the information and/or supporting documents  requested, the Seller reserves the right not to accept or to cancel the  pre-order. 

The Seller also  reserves the right not to accept or to cancel the pre-order of any Client who  has provided incorrect information, who fails to pay for the Products, or  with whom there exists a dispute relating to the payment of a previous order,  including, without limitation, where the characteristics were not compliant  with the brand’s standards.

Delivery dates  announced at the time of Pre-orders are indicative and may change without the  Seller being held responsible. If the delivery timeframe no longer suits the  Client, the Client may cancel the pre-order without condition.

The Seller reserves the  right to modify the essential characteristics of the Product(s) ordered, the  total price, and any other relevant element.

The Seller further  reserves the right to change the options and accessories available for sale  for each Product. If the Product(s) no longer suits the Client due to such  changes, the Client may cancel the pre-order without condition.

A pre-order is personal  to the Client and may not be transferred to a third party without AEMOTION’s  written consent.

No compensation will be  contractually due by AEMOTION in relation to pre-orders. 

Refund requests and cancellation fees

In the event of a refund request, the Customer must provide proof of purchase (invoice) as well as the payment method used when placing the pre-order.

In accordance with Articles L221-18et seq. of the French Consumer Code, the Customer is entitled to a statutory withdrawal period of fourteen (14) days from the receipt of the pre-ordered product. However, pursuant to Article L221-28 of the French Consumer Code, this right of withdrawal does not apply to services that have been fully performed before the end of the withdrawal period and whose execution has begun after the consumer’s prior express consent and express waiver of the right of withdrawal.

Upon validation of the pre-order, the Customer expressly acknowledges that they immediately benefit from a distinct service, which includes:

• the priority reservation of the product,

• early access to the pre-order,

• the priority processing of their order.

This service, charged at five percent (5%) of the total amount of the pre-order, is deemed fully performed upon validation of the pre-order. The customer expressly accepts the loss of the right of withdrawal on this service (article L221-28).

Consequently, the amount corresponding to this service shall remain definitively due to the Seller,including in the event of cancellation of the order by the Customer or subsequent exercise of the right of withdrawal in respect of the pre-ordered product.

Section 5 – Orders

As of the date of  updating these Terms, the placing of Orders is not yet possible because the  Products are still in the industrialization phase. Nevertheless, this Article  describes, for information purposes, the order process.

 

The Client declares  that they have full legal capacity to enter into these Terms and Conditions.

 

Any Client wishing to  purchase Products online on the Site must:

- create a Client  account, hereinafter referred to as a “Member Space”, on www.ae-motion.com;

- log in to their  Client account on www.ae-motion.com;

- indicate whether they  are a private (individual) Client or a professional Client;

- complete the required  fields necessary to generate the order, including personal data required for  identification for individual Clients and legal information for professional  Clients;

- confirm acceptance of  the General Terms and Conditions of Sale;

- confirm acceptance of  the Order for the Products;

- make payment for the  Products via one of the payment methods and financing partners available at  the time of the order.

 

In the event of no  approval of the Client’s file by the financing partner, the order will be  cancelled and any pre-order amount collected by AEMOTION will be fully  refunded to the Client. The Client agrees to provide AEMOTION, on request by  email to the address used at the time of order, with the bank details  necessary for the refund.

 

Unless expressly  provided otherwise on the Site, the Client may not modify their order after  validation, which will be final and binding. However, the Client may withdraw  if they are a private consumer, within the framework of their right of  withdrawal, and possibly beyond.

 

Upon receipt of payment  for the Products included in the order, the Seller will send the Client an  e-mail confirmation of their order to the e-mail address provided by the  Client.

 

The order confirmation  e-mail summarizes the essential characteristics of the Product(s) ordered,  the total price and any other relevant element. This email will also provide  a tracking number for the Client’s order.

 

By placing an order on  the Site, the Client expressly agrees that the Seller may send them an  invoice electronically. They may, however, obtain a paper invoice on request  to Customer Service. 

 

The Seller endeavors to  ensure optimal availability of its Products. Product offers are valid while  stocks last.

 

For the purposes of  fraud prevention, the Seller or its payment or delivery service providers may  request additional supporting documents from the Client or contact the Client  at the time of acceptance and/or shipment of the order. If the Client  unjustifiably refuses to provide the information and/or supporting documents  requested, the Seller reserves the right not to accept or to cancel the  order.

 

The Seller also  reserves the right not to accept or to cancel the order of any Client who has  provided incorrect information, who fails to pay for the Products, or with  whom there exists a dispute relating to the payment of a previous order.

 

Section 6 – Pricing  Conditions

Products are sold at  the Seller’s price in force and shown on the Site on the day of the order,  expressed in euros, TTC and excluding delivery charges. For professional  Clients, the VAT rate in force will be indicated on the invoice.

 

Prices are firm and not  subject to revision during their period of validity, the parties expressly  waiving the application of Article 1195 of the French Civil Code. 

 

Any transport,  delivery, order processing (postage, packing, parcel preparation, optional  services subscribed to by the Client) and other fees, interest and  commissions are indicated in the order summary and are established according  to the place and method of delivery selected by the Client, as well as the  type of Product and/or the quantity of Products ordered by the Client.

 

Any special request  made by the Client after the order which results in additional costs  (packaging, transport, etc.) may be subject to supplementary invoicing.

 

When Products are not  collected by the Client and must be re-shipped, additional handling,  shipping, transport and delivery charges may be billed under conditions  identical to those provided for at the time of the order.

 

Price reductions,  rebates and discounts may apply to Products under the conditions set out on  the Seller’s Site or in any other document communicated to the Client. In the  case of a promotional price, the Seller undertakes to apply that price to any  order placed during the promotional period.

 

Any change in tariffs  resulting from an increase in value added tax or the creation of any new tax  based on the price of Products shall be applied immediately and  automatically.

 

 Where payment is made  via a financial partner of the Company, fees specific to the financial  service provided by the partner may apply. The details of these fees and the  partner’s contractual conditions are a matter between the Client and the  financial partner and AEMOTION shall not intervene in that commercial  relationship.  

 

 

 

Section 7 – Delivery

Products ordered by the  Client will not be delivered until the Client has paid the full amount of the  order. Products are delivered to the delivery address indicated in the  ordering process. The Client may request delivery to an address different  from the billing address. In this case, both the delivery and billing  addresses must be specified. If the Client wishes to deliver to two different  locations, they must place two separate orders, with the delivery charges  applicable to each.

 

Delivery times are  provided for information purposes on the website depending on certain  parameters such as the day and time of receipt of payment for the order and  subject to the availability indicated on the Product’s page, if in stock.

The delivery times  stated on the website are counted from the factory release date of the  Products ordered by the Client and, for Products available in stock at the  time of the order, such times cannot exceed 30 days from order confirmation  by the Site. For all Products requiring a restocking period, this period must  be added to the delivery time. For Products manufactured to order, delivery  times exceeding 30 days are permitted and are accepted by the Client.

 

For deliveries outside  metropolitan France, the Client undertakes to pay all taxes due on  importation of the Products, customs duties, value added tax and any other  taxes due under the laws of the country of receipt of the order. AEMOTION  shall be released from all legal liability if such taxes are not paid by the  Client.

 

When the order concerns  a Product that is no longer in stock, the Client will be informed by email.  AEMOTION’s commitment to delivery times is subject to the Client providing a  clear and correct delivery address, the presence of the Client or an authorized  person at the time of the carrier’s visit and the absence of any obstacle,  unforeseen circumstance or force majeure beyond the control of AEMOTION and  its carrier partner.

 

Delivery is deemed to  have been made on the date of the first presentation of the goods to the  purchaser. The Client is obliged to check the conformity of the Product  delivered at the time of delivery before signing the delivery note. Any  anomaly concerning the delivery (damage, missing Product compared to the  delivery note, damaged parcel, broken Products…) must be noted on the  delivery note and signed by the Client. The Client must notify AEMOTION of  such anomalies by email upon receipt of the parcel.

If you entrust receipt  of the Product to a third party, that third party receives the parcel on your  behalf and for your account. You must therefore ensure that they take care  when receiving the Product and remind them to treat the purchased goods with  the same care as if they were the intended recipient.

 

In the case of delivery  by La Poste, if the parcel arrives open and/or damaged (for example bearing  La Poste’s yellow tape), you may either accept or refuse it. If you or your  agent decides to accept the goods, you must:

• write sufficiently  precise handwritten reservations on the delivery slip and have the postal  carrier sign next to them;

• also complete a  “relevé d’anomalie” in accordance with La Poste regulations.

This form must be sent  to us so that we can open an investigation and initiate a compensation  procedure if applicable. If you or your agent prefers to refuse the goods, in  addition to handwritten reservations, you must ask the carrier to return the  parcel to us accompanied by a “constat de spoliation”. As a precaution, we  recommend keeping a copy of this document.

 

In the case of delivery  by other carriers, whether you accept the delivery or not, for any parcel  that is open and/or damaged you must make handwritten reservations on the  carrier’s delivery slip and inform us and the carrier by email within 24  hours of delivery.

In the event of a  delivery delay by La Poste within eight (8) working days following the  dispatch date indicated in the shipping confirmation email, we suggest you  check with your local post office to see if the parcel is being held there;  if not, please report the delay to our Customer Service via www.ae-motion.com  by sending an email. We will then contact La Poste to open an inquiry. Such  an inquiry may last up to twenty-one (21) working days from its opening date.  If the Product is located during that period, it will be re-routed to your  home as soon as possible. If, at the end of these twenty-one (21) working  days, the Product has not been located, La Poste will declare the parcel  lost.

 

At the conclusion of  the loss investigation, we will send a replacement Product (at our expense).  If the Product(s) ordered are no longer available, you may obtain a refund  for the Products concerned following La Poste’s confirmed loss declaration.

In the event of a  delivery delay by other carriers within five (5) to ten (10) working days  following the dispatch date indicated in the shipping confirmation email,  please notify our Customer Service by emailing livraison@ae-motion.com.

 

 

 

 

 

 

 

 

 

 

 

 

 

 

 

 

 

 

 

 

 

 

 

 

 

 

We will open an inquiry  with the carrier concerned to locate the parcel.

If the goods are found,  they will be re-routed to you as soon as possible. Otherwise, and after  obtaining a loss report from the carrier, we will re-send the Product(s) or,  in the event of permanent unavailability, we will refund any amounts paid in  accordance with the provisions of these Terms.

 

In the case of delivery  to a collection point (Point Relais):

• If the parcel is  deposited at the selected collection point, the Client will have ten (10)  working days from the date of receipt at the collection point to collect  their parcel.

• If the collection  point chosen by the User is unavailable (saturated, merchant on leave, etc.),  the parcel will either be deposited at the nearest available collection point  or returned to AEMOTION by the carrier.

 

If the parcel is  returned to AEMOTION, Customer Service will contact the Client upon receipt  of the parcel to obtain the new desired delivery address. Please note that  Colissimo Point Retrait allows you to provide your mobile phone number at the  time of order on the AEMOTION Site to notify you for free of the availability  of your parcel and to provide collection codes. These services are considered  an extra option insofar as the Client can, in any event, track the parcel via  Colissimo at www.colissimo.fr using the delivery  number. The Client should contact our Customer Service at livraison@ae-motion.com if they are unable to  access this information.

 

Section 8 – Returns of  Products

To return an order, we  recommend that you overpack the original packaging of your Products, as we  can only accept returns of Products returned in their entirety (accessories,  warranty coupon, manuals, cover etc.), with their original packaging, all  intact, showing no signs of use or wear and in like-new condition. Warning:  Always keep the original packaging of the Products, otherwise you may be  unable to re-ship them in the event of problems. Indeed, La Poste and all  carriers never accept to take delivery of Products not packaged in manageable  cartons.

 

You must include a copy  of the invoice with your return. Exchange or refund is subject to the Product  not having been damaged or returned incomplete.

 

For the return of a  complete vehicle to the workshop, you alone are responsible for and liable  for the packing and transport costs associated with the necessary round trip,  warranties being limited to the coverage of labor required for workshop  repairs and the return by postal parcel of repaired or replacement spare  parts. In the case of bulky Products such as complete vehicles for which you  request workshop intervention, you may mandate AEMOTION so that a specialized  partner carrier may be engaged for collection and return to your home, at  your request, but at your responsibility and expense. The fees associated  with such operations will always be communicated in advance and invoiced and  must be paid before any collection procedures are initiated.

 

Section 9 – Right of  Withdrawal

Individual consumer  Clients have a period of fourteen (14) days from the delivery of the goods to  return the Product to AEMOTION for exchange or refund without penalty. This  period is exceptionally extended to thirty (30) days for an exchange or  credit note (no refund is possible beyond 14 days). Exceptions to the right  of withdrawal exist for sealed goods that cannot be returned for health or  hygiene protection reasons and which have been unsealed by the consumer after  delivery, and for Products made to the Client’s specifications or  personalized; this includes mounted bicycle wheels (wheel + tire, wheel +  drivetrain, etc.) bought alone. Standard complete vehicles are not subject to  these exceptions.

 

To ensure better  handling of returns, a return request must be made directly by indicating  simply the reason for return (withdrawal) without having to justify this  request. This request can be made by sending an email to  retractation@ae-motion.com.

To exercise this  option, you must return the Products complete, including accessories,  assembly or operating instructions and any consumables. Any Product,  accessory, manual and/or consumable missing from the original shipment may be  charged. In the event of a return, the Client must pack the item with care;  they may reuse the original packaging if it is in sufficiently good condition  for re-shipment. This right of withdrawal is offered only to consumers as  defined by law and only for physical Products. Purchases made for  professional purposes do not benefit from the right of withdrawal. Refunds  will be made using the same payment method used by the Client at the time of  the transaction. In the event of return of a complete order that benefited  from a discount on shipping costs or free shipping, the refund amount will be  reduced by the cost of these shipping charges.

 

Section 10 – Product  Warranties

New Products sold by  AEMOTION benefit from a manufacturer’s warranty, the duration of which is  indicated in the Product’s technical description on the website. More  specific terms and conditions for the application of the warranty are defined  in the user manual and warranty booklet that accompany the Product. In  addition to the statutory warranty of conformity and the statutory warranty  against hidden defects, certain Products benefit from a specific commercial  warranty. Where applicable, the duration of such commercial warranties is  specified on the respective product pages.

In all cases, the  purchaser must be able to present the invoice issued by AEMOTION to benefit  from the warranty from the manufacturer or any maintenance company. The  warranty start date corresponds to the invoice date of the Product.

The warranty does not  cover equipment used in competition or rental, damage related to wear and  tear, misuse, lack of or defective maintenance, or any modification made to  the Product after delivery.

 

This warranty also does  not cover:

• the replacement of  consumable Products;

• non-conforming,  irregular or abnormal use of the Products;

• defects or  specificities of a Product expressly mentioned in the product sheets;

• defects and their  consequences linked to non-conforming use of the Product for purposes other  than those for which it is intended.

In the event of a  return, the Client must return the defective Product(s) and, after acceptance  by email or telephone by the returns service, the return will be processed.  Return shipping costs for new or repaired parts are borne by AEMOTION. In any  event, AEMOTION cannot be held responsible for non-compliance with the  regulatory and legislative provisions in force in the country of receipt;  AEMOTION’s liability shall not exceed the purchase value of the Product and  this without recourse to the brand or the manufacturing company. In any case,  the Client benefits from the statutory guarantees of eviction and hidden  defects (Articles 1625 et seq. of the French Civil Code). Provided that the  purchaser proves the hidden defect, the seller must legally repair all its  consequences (Articles 1641 et seq. of the French Civil Code); if the  purchaser brings proceedings before the courts, they must do so within a  “short time” from the discovery of the hidden defect (Article 1648 of the  French Civil Code).

 

Section 11 – Liability

AEMOTION cannot be held  liable for any damages of any kind, whether material, immaterial or bodily,  which could result from:

• misuse of the  Products;

• failure to comply  with the instructions set out in the user manuals;

• any handling error;

• any abnormal or  non-conforming use of the Product for the purpose for which it was intended  and any physical or technical modification;

• any external cause.

 

Events or circumstances  that are irresistible, unforeseeable and beyond the control of the Parties  are considered as force majeure or fortuitous events and shall exempt  liability.

 

IMPORTANT: Some of the  Products sold by AEMOTION are road-legal vehicles and must, in particular, be  registered and covered by appropriate insurance before any use on public  roads. In addition, depending on the vehicle model concerned, it is the  Client's responsibility to verify that they hold the legal permits and authorizations  necessary to drive the vehicle. The vehicle's characteristics and regulatory  category are specified at the time of Order.

Section 12 – Personal  Data

When you place an  order, the personal data collected will be the subject of automated  processing. The data may be used for marketing purposes with the Client's  consent. Personal data collected when placing an order is intended for  AEMOTION for the purpose of processing the Order or Pre-order.

 

In accordance with the  General Data Protection Regulation (Regulation (EU) 2016/679 of 27 April  2016) and the French Data Protection Act (Law No. 78-17 of 6 January 1978, as  amended), the Buyer has the right of access, rectification, erasure,  restriction of processing, portability and the right to object to the  processing of their personal data when processed for direct marketing  purposes.

 

You have at any time  the right to access, rectify and delete the information concerning you.  Simply send an e-mail to retractation@ae-motion.com or a letter to: EV4  France, 87 rue de la Picardière, 01300 VIRIGNIN, France. 

 

Section 13 – Applicable  Law

These General Terms and  Conditions of Sale are governed by French law and the Buyer who has connected  to a French website acknowledges that the transaction took place in France.  Any dispute concerning these Terms and Conditions of Sale shall be submitted  to the competent French courts.

 

If one or more  provisions of these Terms are held to be invalid or declared as such pursuant  to a law, regulation or following a final decision of a competent court, the  remaining provisions shall retain their full force and scope. The competent  court in the event of a dispute shall be that of the defendant’s domicile or,  at the claimant’s option, that of the place of effective delivery of the  Product.

 

Section 14 – Late  Payment

For payment by  instalments or payment in N instalments, if one or more instalments are not  paid when due, this may give rise to the charging of late payment penalties  without any prior formal notice being required. The rate of these penalties  is equal to three times the legal interest rate plus a fixed compensation for  recovery costs of €40 due by any professional (Code de commerce L441-10).  Acceptance of the parcel automatically results, in the event of late payment,  in the application of late payment penalties.

 

Regardless of the  Client's status (individual or professional), in the event of late payment,  the charging of late payment penalties and the administrative fees incurred  does not exclude the possibility for the Company to claim additional damages.  Furthermore, the Buyer may not, based on a claim made by them, withhold all  or part of the amounts due or set off. In the event of recourse by  contentious means, the Company shall be entitled to claim reimbursement from  the Buyer of the costs related to the proceedings.

 

Section 15 – Consumer  Dispute Mediation

In the event of  difficulties in the application of this contract, the Client shall first  contact AEMOTION with a view to seeking an amicable solution.

 

Failing an amicable  agreement, if the Client is a consumer, complaints or disputes relating to  the validity, interpretation, performance or non-performance, interruption or  termination of this contract may be submitted to the Mediator of the Conseil  National des Professions de l'Automobile (CNPA), which is listed on the  register of mediators established by the Commission for the evaluation and  control of consumer mediation in accordance with Article L.615-1 of the  Consumer Code.
